Raising Capital
For small companies seeking to raise additional capital, a private placement may be a much faster, cheaper, and more effective alternative than a true registered primary or secondary offering. Private placements are much more commonly used than secondaries (over 8 to 1) for companies under $300 million in market cap offering common stock.
Private Placements
FLSC assists clients in identifying and obtaining growth capital from a variety of sources to address their particular needs.
Our team researches a spectrum of capital providers such as high-net-worth individuals, institutional investors and a number of other capital sources who leverage our ability to identify promising business opportunities. The investment banking team identifies investors, structures the capital facility, helps negotiate the terms and conditions of the financing and coordination of the activities among the issuer, investor, legal counsel and other advisors.

Due Diligence
For promising investment opportunities, we engage the issuer and FLSC counsel and advisors to conduct extensive analysis. We perform an extensive amount of due diligence on each client company or offering in order to provide potential investors with the information they need to evaluate each company, issuer or investment.
Our analysis routinely involves the company's suppliers, vendors, partners, and major customers. We conduct interviews with most senior executive officers and/or Board members who are active in the day-to-day management of the company. Our process typically involves on-site visits to one or more of the company's operating locations, as well as an in-depth review of virtually all publicly available information. In short, we attempt to familiarize ourselves with every major detail of each division or subsidiary of the company.
FLSC’s analysis has two primary goals: 1) satisfying ourselves that we are presenting a truly compelling investment opportunity to our institutional or individual clients, and 2) making this information easier to comprehend and digest for our clients. Once our analysis is complete, it is usually presented in a concise Information Memorandum, complete with a company overview, industry analysis, competitor analysis, earnings model, and key risks to consider.
